Terms of Service

1. Who we are
Philos (“Philos,” “we,” “us”) operates getphilos.ai — a platform for creating and running referral, affiliate, and ambassador programs. These terms are an agreement between Philos and you, whether you use Philos as a merchant running programs or as a partner promoting them. By creating a workspace, enrolling as a partner, or otherwise using the service, you agree to these terms.
2. The service
Philos lets merchants design campaigns, recruit partners, track referred conversions, and pay partner rewards. We provide the tooling — capture links, a conversion ledger, payout workflows, content drafting, and agent interfaces. The programs themselves, their terms, and their economics belong to the merchant who runs them.
3. Accounts
You sign in with one-time email links; there are no passwords. You are responsible for the security of your email account and for the people you invite to your workspace. Keep your account information accurate. You must be at least 18 to use Philos.
4. Plans, fees, and refunds
Creating a workspace and drafting a program is free; launching campaigns requires a paid plan. Plans are billed monthly (or annually at a discount), limit only active campaigns and seats, and never meter partners, conversions, or tracked revenue. Your first purchase of any plan carries a 14-day full-refund guarantee — email us within 14 days and we refund it, no questions. A payout platform fee, stated on your plan and itemized on every statement, applies only when Philos moves payout money on your behalf. We may change prices with at least 30 days’ notice; changes apply from your next billing cycle.
5. Conversions and the ledger
Philos records conversions it can verify — signed webhook events and attributed captures — in an append-only ledger. Corrections are made by offsetting entries (voids, clawbacks), never by silent edits. Reward economics are locked when a conversion qualifies; later campaign changes do not retroactively reduce earned rewards.
6. Payouts
Merchants fund partner rewards. Philos facilitates payouts on the merchant’s instruction; every payout requires an explicit, logged human confirmation by an authorized workspace member. Partners are independent participants in a merchant’s program, not employees or agents of Philos or the merchant. Partners are responsible for their own taxes on rewards received.
7. Partner conduct and disclosure
Partners must disclose material connections in their promotions as the law requires (for example the #ad disclosure under U.S. FTC guidance — Philos-generated content includes it by default and it must not be removed). Prohibited everywhere on Philos: self-referrals, incentive fraud, cookie stuffing, spam, misleading claims, and promoting anything unlawful. Violations can void pending rewards and end enrollment or accounts.
8. Your content and data
Your campaign content, program terms, and business data remain yours. You grant us the license needed to operate the service — to store, process, display, and transmit your content in providing Philos. The onboarding report we generate about your business is drawn from information you provide and your public website; it is yours to keep, correct, or discard.
9. AI features
Philos includes AI-assisted features: the onboarding report, drafted campaigns, content kits, recruit suggestions, and fraud signals. AI output is a proposal, not a decision — nothing AI-generated moves money or changes your program without a human’s explicit confirmation. AI output may be imperfect; review it before you rely on it.
10. Acceptable use
Don’t abuse the platform: no unauthorized access attempts, no scraping other tenants’ data, no use of Philos to run deceptive or unlawful programs, no interference with the service’s operation. We may suspend accounts that put the platform or other users at risk.
11. Availability and changes
We work to keep Philos available and evolving, and we may add, change, or retire features. The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the fullest extent the law allows, Philos is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total liability for any claim arising from the service is limited to the fees you paid us in the 12 months before the claim arose.
13. Termination
You can stop using Philos and close your workspace at any time. We can suspend or terminate accounts that breach these terms, with notice where practicable. Financial records are retained as required for bookkeeping and dispute integrity; personal details within them can be redacted on request as described in our Privacy Policy.
14. Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.
15. Changes to these terms
When we change these terms materially, we’ll post the update here and note the new effective date; for significant changes we’ll email workspace owners. Continued use after the effective date is acceptance.
